Bylaws of the House of Ideology, an Unincorporated Association

 

Article 1: Offices

 

Section 1.01. Principal office

 

The principal office of the association for its transaction of business is located in the city of West Hollywood and county of Los Angeles California.

 

Section 1.02.  Change of Address

 

Bylaws of the House of Ideology hereby grants the Council of Ideologues full power and authority to change the principal office of the association from one location to another.  Any such change is to be noted in the bylaws, but shall not be considered an amendment to the bylaws.

 

Article 2: Members

 

Section 2.01. Classification of Members

       A.  We play roles in our House of Ideology defined by our Articles of Association of our House of Ideology. Our High Ideologue of our House of Ideology manages and administers the affairs, properties, and temporalities of our House of Ideology. Our High Ideologue leads our Council of Ideologues.  Our Council of Ideologues consists of any number of Spiritizers. The wings of our House of Ideology are unincorporated non-profit religious organizations where in spiritizers and people from all occupations gather to give and receive spiritual entertainment, education, and leadership. The basis for the spiritual entertainment, education, and leadership given and received are the words and teachings contained within our House of Ideology Manifesto. Our High Ideologue writes our House of Ideology Manifesto. We read our House of Ideology Manifesto and offer our feedback. Together we converge upon models of self and world that enable us to have the highest esteem of self and world that we can possibly imagine. Together we devote our energy, space and time to thoughts, beliefs, and expectations about self and world that produce the most powerful emotional responses of joy, faith, and love imaginable and the most powerful physiological responses of health possible.

        B. We operate our House of Ideology using a hierarchical polity. Polity is our internal organizational framework, patterns of association, cooperation and governance, the structures that our faith community uses to implement our doctrine and live out our commitment. Organization determines the relationship between our local units and our more general, coordinating bodies. Polity assigns content to different roles persons play in our faith community, as well as its affiliated agencies.

        C. The role of an Associate of our House of Ideology is as follows:

1.    To associate with our High Ideologue, Spiritizers, Ideologues and/or other Associates of our House of Ideology. 

2.    To be free to make up own mind about self and world. 

        D. The role of an Ideologue of our House of Ideology is to do all that an Associate of our House of Ideology does plus the following;  

1.     Affirm the statement of faith contained within the House of Ideology Manifesto.

2.     Build a model of self and world made up of truth and myth and converge upon a standard of conduct that in mind of self best produces happiness and health.

3.     Love healthy, agnostic, positivistic, nationalistic, spiritization of a model of self and world taken to its' logical extreme.

4.     Be entertained, educated, and led by this House of Ideology Manifesto.

5.     Be in agreement with discovery and optimistic about mystery.

        E. The role of a Spiritizer of our House of Ideology is to do all that an Ideologue of our House of Ideology does plus the following;

1.  Study and demonstrate ability as an educator, entertainer, and leader to serve the House of Ideology as a Spiritizer  in accord with the Bylaws and Articles of Association of the House of Ideology and the Articles of Incorporation of the High Ideologue, A Corporation Sole. 

2.  Use this House of Ideology Manifesto or write another Manifesto if desired to teach, entertain, and lead others with good examples of how to take a love of healthy, agnostic, positivistic, nationalistic, spiritization of self and world to its' logical extreme.

3.  Join with at least two other Spiritizers of the House of Ideology to form a local wing of the House of Ideology as a non-profit organization. 

4.  Challenge us to have the highest esteem of self and world that we can possibly imagine and converge upon a standard of conduct that best produces happiness and health.

        F. The role of the Chosen One of our House of Ideology is to do all that a Spiritizer of our House of Ideology does plus the following;

1.    Love, guide, and cherish the High Ideologue of our House of Ideology as mandated by the Articles of Association of our House of Ideology. 

2.    Groom self as a successor to the High Ideologue of our House of Ideology.

3.    Join with our High Ideologue and or other like-minded Spiritizers to form a wing of our House of Ideology.  

        G. The roll of the High Ideologue of our House of Ideology is to do the following;

1.    Administer and manage the affairs, property, and temporalities of our House of Ideology, an unincorporated non-profit religious association under the direction of the High Ideologue of our House of Ideology.

2.    Write and rewrite our House of Ideology Manifesto as to best elaborate upon the Statement of Faith of our House of Ideology.

3.    Direct our House of Ideology.

        H. Our High Ideologue invites those who would like to identify with and devote energy, space, and time to the accomplishment of our purposes and goals as described within the House of Ideology Manifesto to join our House of Ideology as an Ideologue. Some Ideologues who join our House of Ideology may choose to make themselves available as Spiritizer of our House of Ideology and participate in the development of our House of Ideology as this may unfold over time.         I. The association shall have no members.

 

Section 2.01.  Effect Of Prohibition

 

Any action that would otherwise require approval by a majority of all members shall require only approval of our Council of Ideologues.  All rights otherwise be vested under the Non-profit Religious Law in members shall be vested in the Director(s).

 

Article 3: Directors

 

Section 3.01 Number

 

The Association shall have not less than one (1) and not more than thirteen (13) directors.  The exact number of directors shall be one and the number shall be fixed from time to time, within limits specified by the bylaws, by amendment to these bylaws duly adopted by approval of the Council of Ideologues, as that term is defined in section 5032 of the Corporations Code.

 

Section 3.02 Qualifications

 

The Directors of the association shall be residents of the planet Earth.

 

Section 3.03 Terms of Office

 

Each Director shall hold office for life or until their resignation, or removal from office by the Council of Ideologues.

 

Section 3.04 Nomination

 

Any person may nominate self as qualified to be a director under section 3.02 of these bylaws by the method of nomination authorized by the Council of Ideologues or by any other method authorized by law.

 

Section 3.05 Election

 

The Council of Ideologues shall elect directors at any regular meeting as prescribed by section 3.07 of these bylaws or by written ballot as authorized by section 3.11 of these bylaws.  The Council of Ideologues elects candidates receiving the highest number of votes. The High Ideologue of the House of Ideology holds veto powers.

 

Section 3.06 Compensation

 

Council of Ideologues may fix a sum from time to time by resolution that shall be compensation given by the House of Ideology to directors.

 

Section 3.07 Meetings

 

          (A).  Call of Meetings

 

The High Ideologue, The Chosen One, the Secretary or any two (2) Directors may call meetings of the Council of Ideologues.

 

          (B).  Place of Meetings

 

Council of Ideologues shall hold meetings at the principal office of the association as specified in section 1.01 of these bylaws or as changed from time to time as provided in section 1.02 of these bylaws.

 

          (C).  Time of Regular Meetings

 

Council of Ideologues shall hold regular meetings without call or notice, on the first Wednesday of each month.  If any date fixed for the regular meetings falls on a legal holiday, the Council of Ideologues shall hold the meeting scheduled for that day at the same hour on the next succeeding day that is not a legal holiday.

 

          (D).  Special Meetings

 

The High Ideologue, the Chosen One, Secretary and or any two (2) Directors may call special meetings of the Council of Ideologues.  Special meeting shall be held on four (4) days notice by first-class mail, postage paid, or on forty-eight (48) hours notice delivered personally or by telephone, including a voice messaging system or any other system or technology designed to record and communicate messages, telegraph, facsimile, electronic mail, or other electronic means.  Notice of a special meeting need not be given to any director who signed the waiver of notice or written consent to holding the meeting, or approval of the minutes of the meeting, whether before or after the meeting, or who attend the meeting without protesting the lack of notice to that director either before or at the commencement of the meeting.  Directors must file all waivers, consents, and approval with the association records or make these a part of the minutes of the meeting.

 

          (E).  Quorum

 

A majority of the authorized number of directors constitutes a quorum of the Council of Ideologues for transaction of business, except as hereinafter provided.

 

          (F).  Transactions of Council

 

Except as otherwise provided in the articles, in these bylaws, or by the law, every act or decision done or made by a majority of the directors present at a meeting duly held at which a quorum is present shall be the act of the Council of Ideologues. Provided, however, that any meeting at which a quorum is initially present may continue to transact business notwithstanding the withdrawal of Directors, if any action taken is approved by at least a majority of the acquired quorum for such a meeting, or such greater number as is required by law, the articles, or these bylaws.

 

          (G).  Conduct of Meetings

 

The High Ideologue or in his or her absence any directors elected by the directors present shall preside at meetings of the Council of Ideologues.  The Secretary of the association or, in the Secretary's absence any person appointed by the presiding officer shall act as Secretary of the Council of Ideologues. Directors of the Council of Ideologues may participate in a meeting to use of conference telephone or similar communication equipment; so long as members participating in such meeting can hear one another.  Such participation shall constitute personal presence at the meeting.

 

          (H).  Adjournment

 

A majority of directors present, whether or not a quorum is present, may adjourn any meeting to another time and place.  If the meeting of adjourns for more than twenty-four (24) hours, notice of the adjournment to another time or place must be given prior to the time of the adjourned meeting to the directors who were not present at the time of the adjournment.

 

Section 3.08 Action without Meeting

 

The Council of Ideologues may take any action required or permitted without a meeting, if all members of the Council individually or collectively consent in writing to such action.  Such written consent or consent shall be filed with the minutes of the proceedings of the Council of Ideologues.  Such action by written consent shall have the same force and effect as unanimous vote of such directors.

 

Section 3.09 Removal of Directors

 

          (A).  Removal for Cause

 

Council of Ideologues may declare vacant the office of a director on the occurrence of any of the following events:

 

(1).  Final court order has declared the director to be of unsound mind;

 

(2).  The director has been convicted of a felony; or

 

(3).  The director has been found by final order or judgment of any court to have breached duties imposed by section 7238 of the Corporation Code on directors who perform functions with respect to assets held in a charitable trust; or

 

(4).  The director has failed to attend the minimum required number of meetings of the Council set time to time by resolution of the Council.

 

(5). The director has conducted self in a manner inconsistent with the tasks, goals and purposes of the House of Ideology as described in the articles and/or bylaws.

 

(6). The director has conducted self in a manner inconsistent with the statement of faith of the House of Ideology as published in the Manifesto

 

(7). The director has caused the trademarks and/or service marks owned by the High Ideologue of the House of Ideology to be used in a manner inconsistent with the licensing agreements.

 

          (B).  Removal without Cause

 

Except as provided in the Articles, any Director may be removed without cause if such removal is approved by the Council of Ideologues acting as Council of Ideologues within the meaning of section 5032 of the Corporations Code.

 

Section 3.10 Resignation of Director

 

Any director may resign effective on giving written notice of the High Ideologue, the Chosen One, the Secretary, or the Council of Ideologues of the association.  If the resignation is effective at a future time, a successor may be selected to take office when the resignation becomes effective.

 

Section 3.11 Vacancies in the Council

 

          (A). Causes

 

Vacancies on the Council of Ideologues shall exist on the death, resignation, or removal of any Director; whenever the number of Directors authorized increased; and on the failure of the Council of Ideologues in any election to elect a full number of Directors authorized.

 

          (B).  Filling Vacancies by Directors

 

Except for vacancies created by the removal of Director pursuant to section 3.09 of these bylaws, vacancies on the Council of Ideologues may be filled by approval of the Council of Ideologues or if the number of directors then in offices is less than a quorum, by any of the following methods:

 

(1). Unanimous written consent of the directors then in office;

 

(2). The affirmative vote of a majority of directors then in office at a meeting held pursuant to notice or waivers of notice as provided in section 3.07 (d) of these bylaws;

 

(3). or a sole remaining director.

 

Article 4: Officers

 

Section 4.01 Number and Titles

 

The officers of the association shall be our High Ideologue and such other officers with titles and duties as shall be determined by our Council of Ideologues and as may be necessary to enable our House of Ideology to sign instruments.  Our High Ideologue administers and manages the affairs, property, and temporalities of our House of Ideology.

 

Section 4.02 Appointment and Resignation

 

The officers shall be chosen by the Council of Ideologues and serve at the pleasure of the High Ideologue, subject to the rights, if any, of an officer under any contract of employment.  Any Officer may resign at anytime on written notice to the association without prejudice to the rights, if any, of the association under any contract to which the officer is a party.

 

Article 5: Corporate Records, Reports, and Seal

 

Section 5.01 Keeping Records

 

The association shall keep adequate correct records of account and minutes of the proceedings of the Council of Ideologues, and committees of the Council of Ideologues.  The association shall also keep a record of Directors giving their names and addresses and the class of affiliation held by each.  The minutes shall be kept in written form.  Other books and records shall be kept in either written form or in any other form capable of being converted into written form.

 

Section 5.02 Annual Report

 

The Council of Ideologues shall cause an annual report to be sent to the Directors not later than one hundred twenty (120) days after the close of the association fiscal year.  The report shall contain all the information required by section 6321 (a) of the corporation code and shall be accompanied by any report thereon of independent accounts, or in the event that there is no such report, the certificate of authorized officer of the association that such statements were prepared without audit from the books and records of the association. 

 

Section 5.03 Annual Statement of Certain Transactions and Indemnifications

 

Our association shall furnish annually to its Directors a statement of any transaction or indemnification described in section 6322 (d) and (e) of the Corporation Code, if such transaction or indemnification took place.  Such annual statement shall be affixed to and sent with the annual report described in section 5.02 of these bylaws.

 

Section 5.04 Association Seal

 

Our Council of Ideologues shall adopt a seal that shall be the emblem of the House of Ideology.  Our Secretary of the Association shall have the custody of the seal and fix it in all appropriate cases to all corporate documents.  Failure to affix the seal shall not, however, affect the validity of any instrument.

 

Article 6.  Limitation on Association Activities

 

No substantial part of the activities of this Association shall consist of the carrying on of propaganda, or otherwise attempting to influence legislation, nor shall this Association participate or intervene in any political campaign including the publication or distribution of statements on behalf of or in opposition to any candidate for public office.

 

Article 7.  Amendments

 

Approval in writing by the Council of Ideologues is required to validate any amendment and to repeal an existing amendment to the articles or bylaws of the House of Ideology.

 

Article 8. Subordinate Organization

 

The High Ideologue, A Corporation Sole administers and manages the affairs, property, and temporalities of The House of Ideology in accordance with the Articles of Incorporation of the High Ideologue, A Corporation Sole. The High Ideologue is human intermediary for the High Ideologue, A Corporation Sole and directs the House of Ideology in accordance with the By Laws of the House of Ideology. The High Ideologue is included in the Council of Ideologues and may not be removed, excluded from voting or in any way inhibited from participation in the business of the Council of Ideologues.
